By accessing or using the AIbrokerAGEnt platform, API, or any associated services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Platform.
AIbrokerAGEnt LLC ("AIbrokerAGEnt," "we," "our," or "us") provides trust infrastructure for autonomous agent networks. The Platform includes:
The Platform is a business-to-business (B2B) service. It is intended for operators, developers, and enterprises deploying autonomous AI agents in production environments.
Access to the Platform requires registration. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your API credentials and for all activity that occurs under your account.
You must notify us immediately at johnnyderos@gmail.com if you believe your credentials have been compromised.
As an operator, you retain full ownership of and responsibility for the agents you register on the Platform. You agree that:
AIbrokerAGEnt provides infrastructure for trust attestation; it does not monitor, control, or direct operator agents and is not responsible for actions those agents take.
You agree not to use the Platform to:
We reserve the right to suspend or terminate accounts that violate these use restrictions without prior notice.
Agents registered on the Platform are subject to AATS behavioral standards. Registration constitutes your acknowledgment that your agents will be evaluated against these standards and that attestation results reflect actual observed behavior. Operators agree not to manipulate inputs or environments to artificially inflate trust scores.
AIbrokerAGEnt LLC and its parent company DerosLabs retain all rights, title, and interest in the Platform, including Flash Tag, AATS, and ALR protocols, associated patents (pending and issued), software, and documentation.
You retain ownership of your agents and the data you submit through the Platform. By registering an agent, you grant AIbrokerAGEnt a limited license to process that agent's data as necessary to provide the Platform services, including generating and storing trust attestations and lifecycle records.
Pricing and payment terms will be published at platform launch. Current access may be provided under separate agreement. When payment features go live, applicable fees, billing cycles, and refund policies will be communicated in advance and incorporated into these Terms by reference.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIBROKERAGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THE ACTIONS OF ANY AGENT REGISTERED ON THE PLATFORM.
IN NO EVENT SHALL AIBROKERAGENT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT PAID BY YOU TO AIBROKERAGENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
You agree to defend, indemnify, and hold harmless AIbrokerAGEnt LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) the actions of any agent you register; (c) your violation of these Terms; or (d) your violation of any third-party rights.
Either party may terminate access to the Platform at any time. You may close your account by contacting us at johnnyderos@gmail.com. We may suspend or terminate your access immediately for violations of these Terms, particularly for AATS compliance violations, acceptable use violations, or non-payment.
Upon termination, your right to access the Platform ceases. ALR records associated with your registered agents may be retained for audit integrity purposes as described in our Privacy Policy.
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms shall be resolved exclusively in the state courts of Wake County, North Carolina, or the United States District Court for the Eastern District of North Carolina. You consent to personal jurisdiction in those courts.
We may update these Terms from time to time. When we do, we will update the effective date above and notify active account holders by email or via a notice on the Platform. Continued use of the Platform after notice of changes constitutes acceptance of the updated Terms.
